1. Acceptance of Terms

Welcome to Kolingle ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Kolingle platform, website, and services (collectively, the "Service"), including any connection to third-party services such as TikTok.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Kolingle is a KOL (Key Opinion Leader) and brand management platform that enables:

• KOLs and influencers to create profiles, connect social media accounts, and find brand partnership opportunities
• Brands to discover, manage, and collaborate with KOLs for marketing campaigns
• Campaign creation, assignment, tracking, and reporting
• Profile analytics and audience insights from connected social media platforms
• Payment processing and contract management between KOLs and brands

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. TikTok Integration & Data Access

Kolingle integrates with the TikTok platform via TikTok's official API. When you connect your TikTok account, you authorize us to access certain data from your TikTok profile, including but not limited to:

• Your public TikTok profile information (username, display name, bio, profile picture)
• Follower and following count
• Video count and publicly available video metrics
• Engagement data (likes, comments, shares) on public content
• Audience demographic information (where permitted by TikTok)

By connecting your TikTok account, you also agree to:

• TikTok's Terms of Service and Developer Terms as applicable
• Our accessing and displaying your TikTok data within the Kolingle platform
• Our using aggregated, anonymized TikTok data to improve our matching and recommendation algorithms

You may revoke Kolingle's access to your TikTok account at any time via your TikTok account settings. Revoking access will limit certain features of the Service.

4. User Accounts

To use our Service, you must create a Kolingle account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share your account
• Notify us immediately of any unauthorized access to your account
• Be at least 18 years of age to use the Service

You are responsible for all activities that occur under your account. Kolingle will not be liable for any loss resulting from unauthorized use of your account.

5. KOL Obligations

If you register as a KOL on Kolingle, you represent and warrant that:

• You own or control the social media accounts listed on your profile
• All information about your audience and engagement metrics is accurate
• You have the right and authority to enter into partnership agreements via the platform
• You will fulfill all campaign deliverables as agreed with brand partners
• You will comply with all applicable advertising disclosure laws (e.g., FTC guidelines, BPOM regulations) when publishing sponsored content
• You will not artificially inflate follower counts, engagement metrics, or use bot traffic
• Your content will not violate TikTok's Community Guidelines or applicable laws

6. Brand Obligations

If you register as a Brand on Kolingle, you represent and warrant that:

• You have authority to represent your organization
• Your products and services comply with applicable laws and regulations
• Campaign briefs and requirements are lawful and non-deceptive
• You will make payments to KOLs in accordance with agreed campaign terms
• You will not request content that violates TikTok's policies or applicable advertising regulations

7. Campaigns & Partnerships

Kolingle facilitates connections between KOLs and brands but is not a party to any campaign agreement. We act as a platform intermediary only.

Campaign agreements are directly between KOLs and brands. Kolingle is not responsible for:

• Campaign results or content performance
• Disputes between KOLs and brands regarding deliverables
• Any claims arising from published sponsored content

While we provide dispute resolution assistance, final responsibility for campaign execution lies with the contracting parties.

8. Payments & Fees

Kolingle may charge platform fees for use of certain features. All fees are disclosed prior to use of paid features. By using paid features, you agree to pay all applicable fees.

For campaign payments processed through Kolingle:

• Kolingle may deduct a platform service fee from campaign payments
• All payment terms, including milestones and release conditions, are set in the campaign contract
• Refund policies are governed by the individual campaign agreement

9. Intellectual Property

The Kolingle platform, including its design, code, logos, and content (excluding user-generated content), is owned by Kolingle and protected by intellectual property laws.

You retain ownership of content you create. By uploading content to Kolingle, you grant us a limited, non-exclusive license to display and use your content within the platform for the purposes of operating the Service.

Kolingle does not claim ownership of TikTok content or data; all TikTok content remains subject to TikTok's terms and the rights of the original creators.

10. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Misrepresent your identity, follower counts, or engagement metrics
• Use automated tools or bots to access the Service or generate fake engagement
• Scrape, copy, or reproduce platform data without authorization
• Interfere with or disrupt the Service or servers
• Upload malicious code or harmful content
• Harass, threaten, or abuse other users
• Violate TikTok's platform policies or API terms through use of our integration
• Use the platform to spread misinformation or conduct deceptive advertising practices

11. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent behavior, or if required by law. You may close your account at any time by contacting us.

Upon termination, your access to the Service will cease. Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) will survive.

12. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOLINGLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Jakarta, Indonesia.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
